By accessing or using NextLeapAI's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

Use License

Subject to your compliance with these Terms, NextLeapAI grants you a limited, non-exclusive, non-transferable license to:

• Access and use our platform for your internal business purposes
• Create and deploy AI agents within your subscription limits
• Access our API and developer tools

This license shall automatically terminate if you violate any of these restrictions.

Account Registration

To use our services, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

Acceptable Use

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe upon intellectual property rights
• Transmit malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Use our services to spam or harass others
• Reverse engineer or copy our software

Subscription and Payment

Subscription terms:

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change our pricing with 30 days' notice
• You authorize us to charge your payment method automatically
• Failure to pay may result in service suspension

Intellectual Property

The services, including all content, features, and functionality, are owned by NextLeapAI and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of your data and content, and grant us a license to use it solely to provide our services.

Data and Privacy

Your use of our services is also governed by our Privacy Policy. We collect, use, and protect your data as described in that policy. You are responsible for ensuring you have the right to share any data you provide to our services.

Service Availability

We strive to provide reliable services, but:

• Services are provided "as is" without warranties
• We do not guarantee uninterrupted or error-free operation
• We may modify or discontinue services with notice
• Scheduled maintenance may cause temporary downtime
• We target 99.9% uptime but cannot guarantee it

Limitation of Liability

To the maximum extent permitted by law, NextLeapAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from your use of our services.

Indemnification

You agree to indemnify and hold NextLeapAI harmless from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms.

Termination

We may terminate or suspend your account:

• Immediately for violations of these Terms
• For non-payment of fees
• If required by law
• At our discretion with 30 days' notice

You may cancel your subscription at any time through your account settings.

Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through our services. Your continued use after such changes constitutes acceptance of the new Terms.
